Since the reform of the Penal Code of 2010, legal persons are criminally responsible for crimes committed by their directors or employees in cases where the company does not have a monitoring and control model for crime prevention.

The Attorney General’s Office issued on January 22 Circular ( 1/2016 ) on the sets criteria for interpreting the new rules of criminal liability of legal persons introduced by the Organic Law 1/2015 of March 31, 2015 which reforms the Penal Code.

The new Penal Code provides that the adoption and effective implementation of a Plan Crime Prevention in companies, allow exempt or minimize criminal liability for legal persons for crimes committed in their name or on behalf of them.

Failure to meet these new requirements and obligations of companies and executives will assume criminal penalties .
